based firm specializing in Corporate Growth
& Exit Strategy. M&BA provides comprehensive
mergers & acquisitions services to manufacturers
and distributors, primarily in the Aerospace
& Defense sectors. Resulting from years
of experience in these sectors, M&BA is
very familiar with high potential strategic
buyers, as well as private equity groups,
bankers, and service providers. This familiarity
and trust enable M&BA to perform effective
and efficient selling processes, maximizing
the benefits for the sellers it represents.
While
many firms collect substantial upfront retainers,
M&BA works on Success Fee basis only.
M&BA performs the entire process (Executive
Summary, Nondisclosure Agreements, solicitation
of Letters of Interest, presentation book,
marketing, Letters of Intent, Data Room, buyers
meetings, advisory, and negotiations support)
with no upfront retainer. Our team believes
in the successful conclusion of the transactions
we represent.

• Analyzing
the company’s position along the Corporate
Life Cycle curve to recommend Organic Growth,
Rapid Growth, or the Sale of the Company.
• Performing
Valuation of the potential Sellers to ascertain
the realistic enterprise value, as seen from
the eyes of a potential buyer.
• Designing
an exit Strategy by means of the sale of all
or part of the Company. This includes the
preparation of financial modeling and presentation
materials, introduction of Strategic and Financial
buyers, analysis of Management Buyout options,
and ESOP programs.
• Exploring
the steps & needed CapEx and other resources
for an Organic Growth. This includes new products
and markets; strategic alliances with vendors,
customers or competitors; International manufacturing
& subcontracting, and the raising of capital.
